Terms of Use

These Terms of Use are a binding agreement between you and Roitels Inc. governing access to Aurxo and its public recommendation, assessment, and information services.

1. Operator and acceptance

Aurxo is operated by Roitels Inc., 2100 Coral Way, Suite 704, Miami, FL 33145, United States. These Terms govern your access to and use of Aurxo, including Choose Greener AI, Aurxo assessments, recommendations, websites, and related public content (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

You must be at least 18 years old or the age of legal majority where you live. If you are not, you may use the Service only with the involvement and permission of a parent or legal guardian.

2. The Service

Aurxo helps users identify AI products that may fit a stated need and presents available environmental evidence concerning energy, carbon, water, transparency, and evidence confidence. Recommendations are generated from task-matching rules, product capability information, and published assessment data.

Public Aurxo features are currently offered without charge. Future paid, enterprise, certification, API, or other services may be governed by additional terms, an order form, or a separate written agreement.

3. Informational service; no professional advice

The Service is provided for general informational and decision-support purposes only. It is not legal, financial, medical, scientific, engineering, cybersecurity, procurement, environmental, investment, or other professional advice, and it is not a substitute for independent investigation, testing, due diligence, or advice from a qualified professional.

Roitels Inc. does not guarantee that any recommendation, rating, source, description, or comparison is complete, current, accurate, or suitable for a particular purpose.

4. Environmental ratings and claims

• Aurxo assessments are comparative and scope-specific. They apply only to the product, model, task, functional unit, date, system boundary, and evidence described.
• “Greener” means a better-supported environmental result within the stated comparison. It does not mean zero environmental impact, climate neutrality, safety, sustainability in every respect, or universal superiority.
• Evidence may be measured, company-reported, independently estimated, incomplete, or unknown. A withheld grade or limited-evidence status is not proof of either low or high impact.
• Aurxo is not a governmental, regulatory, or official certification authority. Unless expressly stated, an Aurxo assessment is not an audit or certification.
• Assessments, labels, methods, and conclusions may be corrected, revised, suspended, or withdrawn when evidence or methodology changes.

5. Recommendations and user responsibility

Aurxo may rank or recommend AI products based on available information and the need described by the user. A recommendation does not guarantee that a product will perform as expected, remain available, comply with applicable law, protect data, or be appropriate for a particular person, organization, jurisdiction, or use case.

You are solely responsible for evaluating the suitability, legality, security, privacy, accuracy, cost, and consequences of any AI product you choose, and for reviewing the provider’s current terms, policies, and documentation. Do not submit confidential, regulated, personal, medical, financial, legal, or commercially sensitive information to an AI service unless you have independently determined that doing so is appropriate and authorized.

6. Third-party products, content, and links

The Service may identify or link to AI providers, websites, publications, research, and other third-party resources. Roitels Inc. does not own or control those third parties and is not responsible for their availability, accuracy, outputs, pricing, advertising, security, privacy, data practices, intellectual property, conduct, terms, or services.

When you leave Aurxo or use a third-party product, your relationship is with that third party. Any dispute, loss, or obligation arising from a third-party service is between you and that provider.

7. No affiliation or endorsement

Company names, product names, logos, and trademarks belong to their respective owners. Unless Aurxo expressly states otherwise, the appearance, ranking, inclusion, or assessment of a product does not mean that its owner sponsors, endorses, approves, partners with, or is affiliated with Aurxo or Roitels Inc.

8. Limited license and intellectual property

Subject to these Terms, Roitels Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the public Service for lawful personal or internal business evaluation.

Aurxo’s name, visual identity, interfaces, software, recommendation system, methodology, scoring logic, labels, compilations, assessment presentation, text, graphics, and original content are owned by or licensed to Roitels Inc. Publicly sourced facts remain subject to the rights and terms of their original sources.

Except as expressly permitted by law or in writing by Roitels Inc., you may not copy, reproduce, republish, sell, license, create a competing dataset or service from, reverse engineer, decompile, extract, or commercially exploit any material part of the Service. Ordinary linking, short accurate quotations with attribution, and standard search-engine indexing consistent with Aurxo’s robots instructions are permitted.

9. Acceptable use

You must not:

• use the Service unlawfully, fraudulently, deceptively, or in a way that infringes the rights of others;
• interfere with, damage, overload, probe, scan, or bypass the Service, its security, access controls, rate limits, or infrastructure;
• introduce malware, malicious code, or harmful content;
• use automated means to scrape, harvest, or extract the Service at a volume or in a manner that impairs it or creates a substitute or competing service, except for permitted public indexing;
• remove, obscure, or alter the scope, source, confidence, limitation, date, or qualification attached to an Aurxo assessment;
• represent an Aurxo assessment as an official certification, guarantee, or endorsement; or
• misstate, manipulate, or misleadingly present Aurxo content or ratings.

10. Feedback, corrections, and evidence submissions

If you submit feedback, corrections, evidence, suggestions, or other materials, you represent that you have the right to provide them and that they do not violate law or third-party rights. Do not submit confidential information unless Roitels Inc. has expressly agreed in writing to receive it confidentially.

You grant Roitels Inc. a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, analyze, adapt, publish, and incorporate the submitted material for operating, evaluating, correcting, documenting, and improving Aurxo. Submission does not require Roitels Inc. to respond, publish, credit, compensate, or change an assessment.

11. Availability, modification, and suspension

Roitels Inc. may change, correct, update, suspend, restrict, or discontinue any part of the Service, recommendation, assessment, methodology, or content at any time, with or without notice. We do not guarantee uninterrupted, secure, timely, or error-free availability.

Roitels Inc. may restrict or terminate access when it reasonably believes that the Service is being misused, these Terms have been breached, or action is necessary to protect Aurxo, Roitels Inc., users, third parties, or infrastructure.

12. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

Roitels Inc. disclaims all express, implied, statutory, and other warranties, including warranties of accuracy, completeness, reliability, availability, security, title, non-infringement, merchantability, fitness for a particular purpose, quiet enjoyment, and any warranty arising from course of dealing, usage, or trade practice. No statement, recommendation, rating, source, or communication creates a warranty unless expressly stated in a written agreement signed by Roitels Inc.

13. Exclusion and limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROITELS INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “ROITELS PARTIES”) WILL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, COST, OR EXPENSE OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHERWISE.

This exclusion includes, without limitation, loss of data, revenue, profits, business, goodwill, reputation, opportunity, or anticipated savings; business interruption; decisions made or not made; use of or reliance on any recommendation, rating, evidence, content, or link; use of or inability to use Aurxo or a third-party AI product; third-party outputs, acts, omissions, privacy, security, pricing, availability, or data handling; errors, omissions, interruptions, unauthorized access, or loss of information.

These exclusions apply under any theory of liability, including contract, tort (including negligence), strict liability, statute, or otherwise, even if a Roitels Party knew or was advised that loss was possible. If any liability cannot lawfully be excluded, the aggregate liability of the Roitels Parties will be limited to the minimum liability required by applicable law. The exclusions and limitations in this Section apply to the fullest extent permitted by applicable law.

14. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Roitels Parties from and against claims, demands, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your misuse of the Service, breach of these Terms, violation of law or third-party rights, materials you submit, or your use of a third-party AI product.

15. Privacy

Aurxo’s processing of information is described in the Privacy Policy. By using the Service, you acknowledge that information may be processed as described there. The Privacy Policy is separate from these Terms and does not reduce the exclusions or limitations in these Terms.

16. Governing law and exclusive venue

These Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of Florida, without regard to conflict-of-law principles. To the extent permitted by applicable law, you and Roitels Inc. consent to the exclusive jurisdiction and venue of the state courts located in Miami-Dade County, Florida, and the United States District Court for the Southern District of Florida.

If applicable law does not permit a particular choice of law or forum to apply to you, that choice applies only to the maximum extent legally permitted.

17. International use

Aurxo is operated from the United States. Roitels Inc. does not represent that the Service is appropriate, lawful, or available in every location. You are responsible for compliance with laws that apply to you. Access from another jurisdiction does not make Roitels Inc. subject to that jurisdiction beyond what applicable law requires.

18. Changes to these Terms

Roitels Inc. may revise these Terms by posting an updated version and changing the effective date. Changes apply prospectively from the stated effective date. Your continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree to a revision, stop using the Service.

19. General provisions

• Entire agreement. These Terms, together with any additional written terms that expressly apply to a feature, are the entire agreement concerning the public Service.
• Severability. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
• No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign these Terms without Roitels Inc.’s written consent. Roitels Inc. may assign them in connection with a merger, reorganization, sale, transfer of assets, or by operation of law.
• Headings. Headings are for convenience only and do not affect interpretation.
• Language. The English version is the governing version. The Spanish version is provided for convenience, except where applicable law requires otherwise.
